Terms of service

These terms apply when you buy or use software from PonnoShare Ltd, a company registered in England and Wales under number 16006925. Buying a licence means you accept them.
1. What you are buying
You are buying a licence to use our software. You are not buying the software itself. We keep ownership of the code, the design and everything in it.
Licences are sold in two forms:
- Subscription licences for modules, billed monthly or yearly. The licence stays valid while your subscription is paid.
- One-time licences for ready-made website packages, paid once.
2. One licence, one domain
Each licence covers a single domain. If you run WHMCS on more than one domain, you need a licence for each.
Moving to a different domain is fine and free. Reissue the licence yourself from your client area — you do not need our approval and there is no charge.
3. What you may not do
- Resell, sublicense, share, publish or give away the software.
- Remove, disable, bypass or alter the licence check.
- Decompile, decode or reverse engineer any encoded part of the software.
- Use one licence across multiple domains or installations.
- Remove our copyright notices from the files.
You may edit templates and language files for your own installation, and you may brand the client area as your own — that is what the branding settings are for.
If we find the software being redistributed or the licence check removed, we will terminate the licence without a refund.
4. Licence checks
The software contacts our licence server periodically to confirm your licence is valid. This check sends your domain and server IP address and nothing else. See our privacy policy.
If our licence server cannot be reached, the software keeps working on its last valid answer for up to 7 days so a network problem on our side never takes your billing system down.
5. If a subscription lapses
When a subscription payment is missed you get 7 days. During that window new provisioning stops, but existing customers and services keep working normally. After 7 days the module stops. Paying the outstanding invoice restores it immediately, with your settings intact.
6. Support and updates
An active licence includes updates and support through our ticket system. Support covers installing the software, configuring it and fixing faults in it.
Support does not cover writing custom code for you, work on your server or hosting, third-party modules and themes, or problems caused by your panel provider. We may still help with those, but we do not promise to.
7. Your responsibilities
- Keeping backups of your WHMCS installation and database. Take one before installing or updating anything.
- Meeting the requirements listed for the software, including a supported WHMCS version and PHP version.
- Your own arrangements with your panel provider, hosting company and payment processors.
- Everything you do with the software, including how you treat your own customers and what you sell them.
Our modules connect WHMCS to services run by other companies. We do not control those services, we are not responsible for what they do, and we are not affiliated with WHMCS Ltd, XUI, or any panel or payment provider our software connects to.
8. Availability
We aim to keep the licence server available at all times, but we do not guarantee uninterrupted service. The 7-day grace period described in section 4 exists so that an outage on our side does not stop your business.
9. Liability
The software is provided as it is. To the extent the law allows, our total liability to you is limited to what you paid us in the 12 months before the claim.
We are not liable for lost profits, lost data, lost customers or business interruption. Nothing in these terms limits liability for death, personal injury, or fraud, which cannot be limited by law.
10. Ending the agreement
You can cancel a subscription at any time from your client area. Our refund policy explains what happens to money already paid.
We may end a licence if you breach these terms, if a payment is not made, or if a payment is charged back. When a licence ends you must stop using the software and remove it from your server.
11. Changes to these terms
We may update these terms. The date at the top shows when they last changed. If a change materially affects you, we will tell you by email before it takes effect. Continuing to use the software after that means you accept the new terms.
12. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
